04:18 AM EDT, 10/22/2026 (MT Newswires) -- Qiagen (QGEN) said Wednesday it agreed to be acquired by EQT Private Equity for 46.50 euros ($52.26) a share in cash, valuing the company at about 10.8 billion euros including debt. The offer is a 40.3% premium to Qiagen's July 8 close, the last trading day before reports of private equity takeover interest. Closing is expected in mid-2027, subject to at least 50% plus one share being tendered and regulatory clearances, the company said. Qiagen's supervisory and management boards unanimously support the transaction following a review of strategic options, the company said. Upon completion, Qiagen will be delisted from Frankfurt and New York, and shareholders who do not tender will be paid the same 46.50 euros a share, Qiagen said. Units of Abu Dhabi Investment Authority and Canada Pension Plan Investment Board are co-investing in the bidding entity, it added. Shares of the company were up 1.2% in Thursday premarket activity.
